Terms of Service for GuruPro

Welcome to GuruPro! These Terms of Service ("Terms") govern your access to and use of the GuruPro website (the "Website") and the GuruPro Discord bot (the "Bot"), provided by Max Lange ("we," "us,", "S&L Interactive" or "our").

By accessing or using the Website or the Bot, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Website or the Bot.

1. Acceptance of Terms

By using GuruPro, you confirm that you are at least 13 years of age. If you are under 18, you represent that you have reviewed these Terms with your parent or legal guardian and that they agree to these Terms on your behalf.

2. GuruPro Services

GuruPro offers a unique platform for creating, collecting, trading, and managing custom soccer cards within your Discord server. Our services include:

• Custom Card Creation: Tools to design and add unique players, rarities, and packs to your server's collection.
• Team Management: Features to build and manage your dream team lineup and challenge other players.
• Dynamic Economy: A virtual in-server economy where you can claim daily cards, buy packs, and manage virtual currency.
• Interactive Commands: A wide range of Discord commands to interact with the bot's features.

3. User Accounts and Responsibilities

3.1. Discord Account:

To use the Bot, you must have an active Discord account. You are responsible for maintaining the security of your Discord account.

3.2. Server Administration:

If you are a server administrator who adds the GuruPro Bot, you are responsible for ensuring that its use on your server complies with these Terms and Discord's Terms of Service.

3.3. Content You Create:

You are solely responsible for any content (e.g., player names, images, club logos) you create or upload using the Bot's custom card creation features. You must ensure that you have all necessary rights and permissions for any content you use and that it complies with applicable laws and does not infringe on any third-party rights (including intellectual property rights).

3.4. Prohibited Conduct:

You agree not to:

• Use the Bot or Website for any illegal or unauthorized purpose.
• Generate, upload, or display any content that is offensive, harmful, discriminatory, infringing, or otherwise violates Discord's Terms of Service or community guidelines.
• Attempt to disrupt, bypass, or interfere with the security or functionality of the Bot or Website.
• Engage in any form of cheating, exploiting bugs, or unfair practices within the Bot's game mechanics or economy.
• Use any automated means (e.g., scripts, bots) to interact with the Bot in a way not intended by its design, except for sanctioned Discord bot usage.
• Attempt to sell, trade, or exchange any virtual currency, cards, or other in-Bot assets for real-world money or value outside of the Bot's intended mechanics.

4. Virtual Currency and Items

4.1. No Real-World Value:

All virtual cards, in-game currency (e.g., "credits"), and other virtual items within GuruPro have no real-world value and cannot be redeemed for real money, goods, or other items of monetary value from us or any other party.

4.2. License to Use:

Your purchase or acquisition of virtual items grants you a limited, non-transferable, non-sublicensable, revocable license to use such virtual items solely within GuruPro's services and in accordance with these Terms.

4.3. No Refunds:

All purchases of virtual currency or items within the Bot (if any such purchase mechanisms exist or are implemented in the future) are final and non-refundable, unless otherwise required by applicable law.

4.4. Modification/Removal:

We reserve the right to modify, add, or remove virtual items, currency amounts, or any aspect of the in-Bot economy at any time without prior notice.

5. Intellectual Property

5.1. Our Rights:

All content, features, and functionality on the Website and Bot, including but not limited to text, graphics, logos, and software, are the exclusive property of S&L Interactive or its licensors and are protected by copyright, trademark, and other intellectual property laws.

5.2. User Content:

By creating or submitting content (e.g., custom card images) using the Bot, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sub-licensable license to use, reproduce, modify, adapt, publish, distribute, and display such content in connection with the operation of the Bot and Website.

6. Disclaimer of Warranties

The Website and Bot are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Website or Bot will be uninterrupted, secure, or error-free.

7. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall S&L Interactive, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Website or Bot; (ii) any conduct or content of any third party on the Website or Bot; (iii) any content obtained from the Website or Bot; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

8. Indemnification

You agree to defend, indemnify, and hold harmless S&L Interactive and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Website or Bot; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

9. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Website or Bot after those revisions become effective, you agree to be bound by the revised terms.

10. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Iserlohn, Germany.

11. Termination

We may terminate or suspend your access to the Bot and Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the service will immediately cease.
